Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Lumical mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Lumical. Please read them carefully.

2. Description of Service

Lumical is an iOS application that helps you capture and organize meetings by:

• Scanning meeting invites, posters, and flyers using your device camera
• Extracting meeting details using AI-powered OCR processing
• Storing meeting data locally on your device using SwiftData
• Syncing meetings to your Apple Calendar and Reminders (with your permission)

We reserve the right to modify, suspend, or discontinue any feature of the App at any time without prior notice.

3. User Requirements

To use Lumical, you must:

• Be at least 13 years of age
• Have a compatible iOS device running iOS 18.1 or later
• Have a valid Apple ID
• Agree to comply with all applicable laws and regulations

5. Acceptable Use

You agree to use Lumical only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the App to scan or process any illegal, harmful, or offensive content
• Scan materials containing confidential or sensitive information you do not have permission to process
• Attempt to reverse engineer, decompile, or disassemble the App
• Use the App to spam, harass, or violate anyone's privacy or legal rights
• Circumvent or disable any security features or access controls
• Abuse our OCR backend by sending excessive requests or attempting to overload our systems
• Share your account or subscription with others (except through Apple Family Sharing)

6. Intellectual Property Rights

The App, including its original content, features, design, and functionality, is owned by Lumical and is protected by international copyright, trademark, and other intellectual property laws.

7. Privacy and Data Collection

Your privacy is important to us. Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key points:

• All meeting data is stored locally on your device
• Scanned images are processed and immediately deleted
• We collect anonymous analytics to improve the App
• No tracking or identity linking occurs

8. Third-Party Services

Lumical integrates with and uses third-party services:

• Apple Calendar & Reminders: Subject to Apple's terms and iCloud terms
• RevenueCat: Handles subscription management
• PostHog: Anonymous analytics service
• OCR Backend: AI-powered text extraction service

We are not responsible for the content, privacy policies, or practices of these third-party services. Your use of these services is subject to their own terms and conditions.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• ACCURACY OR COMPLETENESS OF OCR TEXT EXTRACTION
• UNINTERRUPTED OR ERROR-FREE SERVICE
• SECURITY OR FREEDOM FROM VIRUSES OR OTHER HARMFUL COMPONENTS

You are solely responsible for verifying all meeting details before saving them to your calendar. Lumical's OCR feature is provided as a convenience and may contain errors.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMICAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, INCLUDING BUT NOT LIMITED TO:

• Missed meetings due to incorrect OCR results
• Calendar synchronization errors
• Loss of locally stored meeting data
• Service interruptions or unavailability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Lumical and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to:

• Your use or misuse of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Content you scan or process using the App

12. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the App ceases immediately
• Your locally stored data remains on your device but will no longer sync
• You should delete the App from your device
• Active subscriptions will continue until the end of the billing period

You may terminate your use of the App at any time by deleting it from your device and canceling any active subscriptions.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the App shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that you may assert claims in small claims court if they qualify.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Apple-Specific Terms

These additional terms apply to your use of Lumical on iOS devices:

• Apple is not a party to these Terms and has no obligations with respect to the App
• Apple is not responsible for the App, its content, or any warranty claims
• You must comply with Apple's App Store Terms of Service
• Apple and its subsidiaries are third-party beneficiaries of these Terms
• You may only use the App on Apple-branded products that you own or control

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will:

• Update the "Last Updated" date at the top
• Notify you through the App or via email
• Provide at least 30 days notice for significant changes

Your continued use of the App after changes means you accept the updated Terms. If you do not agree to the changes, you must stop using the App.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lumical regarding the App and supersede all prior agreements and understandings.
